Proposed Tata Electronics‑TCE merger projects revenue over ₹1 lakh crore by 2026

Tata Trusts, the majority shareholder of Tata Sons Private Limited, has tabled a restructuring blueprint that merges Tata Electronics Systems Solutions Private Limited with Tata Consulting Engineers. The financial outlook presented in the proposal is striking – the merged business is expected to generate operational revenue of approximately ₹1,05,043 crore by the close of March 2026. In contrast, income from financial assets is forecast at ₹40,072 crore, meaning operational earnings would represent 64.3% of total income. Such a composition keeps the entity below the RBI’s threshold for a "principal business" NBFC, thereby averting mandatory listing requirements. Net assets of the unified firm are projected at ₹2,00,158 crore, with group‑company investments constituting less than nine‑tenths of that figure, ensuring the entity also fails the core investment company (CIC) definition. The plan mandates acquiring a No‑Objection Certificate from the RBI under the 2025 voluntary merger framework, after which Tata Sons would surrender its CIC registration. Tata Trusts believes the restructuring not only meets regulatory expectations but also protects the Tata Group’s century‑old institutional framework, which has traditionally balanced nation‑building, long‑term strategic investment, and social welfare.
