Noel Tata to Quit Six Group Boards; Tata Sons Seat Retained
Tata Trusts Chairman Noel Tata is preparing to exit the boards of six companies in the Tata Group, citing the group's policy on retirement of non-executive directors.
With his 70th birthday falling on November 12, Noel Tata is reaching the retirement threshold set for non-executive directors. The group's governance framework sets the limit at 70 for non-executive roles and 65 for executive roles.
The change points to a major leadership shift within a conglomerate whose businesses range from salt to software. Noel Tata presently holds several important positions across listed and unlisted group companies.
He is a non-executive director at Trent, Voltas, Tata Investment Corporation, Tata International and other companies in the group. In addition, he serves as vice-chairman of Tata Steel and Titan Company.
Noel Tata's departure from the six operating company boards will not end his role at the top of the group. He will continue as the Tata Trusts nominee director on the board of Tata Sons, the holding company. Tata Trusts holds nearly 66 percent of Tata Sons, which keeps him in a position of considerable influence over the group's governance and management.
He will also remain on the board of Trent Hypermarket Limited, a joint venture between Trent and Tesco. The venture runs the Star Bazaar and Star Daily retail chains.
Formal succession announcements for his other directorships and leadership roles are yet to be made.
The move arrives at a time when the group faces active debate on governance, board appointments and the direction of Tata Sons.
Corporate governance observers view the adherence to retirement rules as evidence of institutional discipline. The practice is especially relevant for large business groups, where promoter companies have a strong say in board composition and leadership decisions.
With Noel Tata stepping away from these boards, leadership changes will follow at Trent, Voltas, Tata International and Tata Investment Corporation. The vice-chairman posts at Tata Steel and Titan will also need new appointments.
