Milky Mist IPO Prospectus Flags ₹229 crore Contingent Debt and South India Supply Risks
New Delhi, August 12 – The Red Herring Prospectus for Milky Mist Dairy Food Ltd, which opens for subscription between August 11 and August 13, brings several material uncertainties to the forefront. The filing outlines contingent liabilities approximating ₹229 crore, chiefly arising from the Export Promotion Capital Goods (EPCG) scheme, pending legal disputes and bank guarantee exposures. Of this amount, ₹195 crore is tied to EPCG‑related export obligations; non‑fulfilment could compel the firm to repay duty benefits together with applicable interest and penalties.
The prospectus stresses that 94.5 % of the raw milk required for FY 2026 was sourced from Tamil Nadu. Consequently, any disruption in this state—whether due to poor weather, livestock disease, farmer protests, regulatory changes or supply shortages—could significantly impair the company's ability to obtain quality milk, thereby affecting its production capacity, sales volumes and profitability.
Geographically, the document notes that 69.2 % of Milky Mist’s FY 2026 earnings were driven by its South Indian operations. Economic slowdown, intensifying competition, evolving consumer preferences, regulatory shifts or natural calamities in this region could exert an outsized influence on the overall business.
Revenue concentration by product is also flagged: cheese, paneer and curd together accounted for 59.1 % of FY 2026 revenue. The company further highlights exposure to price volatility in packaging materials, sugar, cultures and other inputs, which together contributed about 18 % of total turnover. Most of these inputs are procured without long‑term contracts, heightening the risk of supply and price fluctuations.
Operationally, Milky Mist’s sole manufacturing facility is located in Perundurai, Tamil Nadu. Any interruption caused by equipment failure, industrial accidents, adverse weather or other natural events could disrupt production and affect business continuity.
Additionally, the prospectus mentions ongoing GST disputes over input tax credit claims and classification issues, with several demands being challenged before tax authorities.
